What coverage should you review?

A housing co-op typically owns its building through a corporation, with residents holding shares and occupancy rights. Board D&O, corporation property insurance and shareholder insurance have different roles. Review the proprietary lease, insured entities and how the policy handles admissions, subletting and other shareholder disputes.

Provident Financial Group is an independent insurance agency. Coverage depends on policy terms, exclusions and the facts. This is general information, not legal advice.

Why Housing Cooperatives Face Distinct Exposure

A co-op's ownership model differs from individually owned condominium units. Shares and a proprietary lease connect residents to a corporation that controls the building. Insurance responsibilities should be checked against the actual corporate documents and leases rather than copied from a condominium checklist.

Boards may decide share-transfer applications, subletting requests, house rules and maintenance charges. A disappointed applicant or shareholder may allege discrimination, inconsistent treatment or misuse of board authority. D&O and any applicable discrimination coverage need careful review; EPL aimed at employee claims should not be assumed to cover housing-related disputes.

Managing agents may handle maintenance payments, reserve funds and resident records. The corporation needs to understand fund-control arrangements and who is insured. Fidelity/crime protects specified fund-loss exposures, while employee-benefit fiduciary liability concerns covered plans. Neither automatically replaces protection for the board's other governance decisions.

Common Claim Scenarios

Hypothetical examples, not reports of actual claims. Coverage depends on the allegations, facts and policy terms.

1

Share transfer rejected

An applicant alleges improper treatment after a board rejects a share transfer. Review the allegations and any discrimination-related coverage or exclusions.

2

Subletting rules challenged

A shareholder alleges the board applied its sublet policy inconsistently and exceeded its authority under the proprietary lease.

3

Fund oversight questioned

Shareholders allege directors failed to supervise a managing agent's access to corporate funds. Crime and D&O may involve different allegations and losses.

What to Think About Before You Buy

Structure matters as much as price. These are the points we walk through with housing cooperatives before placing coverage.

  • Identify the corporation and board roles precisely in the insured definitions.
  • Provide proprietary leases, bylaws and management agreements for review.
  • Review resident discrimination allegations separately from employee discrimination.
  • Confirm fund-loss protection extends to the relevant people and handling arrangements.

Housing Cooperatives Insurance FAQs

Is co-op insurance the same as condominium insurance?

No. A cooperative generally owns the building through a corporation, while shareholders hold shares and occupancy rights. Condominium ownership is structured differently. Property responsibilities, shareholder insurance and board coverage must follow the co-op's own documents and policies.

Can co-op D&O cover admissions or subletting disputes?

It may cover certain allegations of wrongful board acts, but admissions, discrimination, contractual rights and requested remedies can be treated differently. Confirm the relevant coverage and exclusions before relying on D&O. Insurance does not authorize unlawful decisions.

Does EPLI cover claims from co-op residents?

Not automatically. EPLI primarily addresses defined employment-related allegations. A resident's housing-discrimination claim is a different exposure and may need specific coverage. Ask how the D&O form and endorsements address it rather than assuming an employment endorsement is sufficient.

Does the managing agent's policy replace the co-op's D&O?

No automatic replacement exists. The agent's insurance, the corporation's own insurance and contractual obligations should be reviewed together. Confirm insured status and applicable activities in actual policies, not just a certificate or an indemnification clause.

Does fiduciary liability protect stolen co-op reserves?

Employee-benefit fiduciary liability is not designed as blanket theft protection for co-op reserves. Review fidelity/crime for specified dishonest acts and fund losses, including the managing agent's role. Lender project requirements may also apply, with their own scope and exceptions.
