Charities & Public Charities Insurance
Management liability for organizations entrusted with donations, public commitments and mission-driven teams.

A charity's tax-exempt status does not replace insurance for its board, employees or data. D&O addresses covered governance allegations; EPL addresses defined employment claims, cyber addresses specified data and system losses, and fiduciary liability concerns covered employee-benefit plans. Review each line and any shared limits.
Provident Financial Group is an independent insurance agency. Coverage depends on policy terms, exclusions and the facts. This is general information, not legal advice.

Why Charities & Public Charities Face Distinct Exposure
Charity boards oversee donations, fundraising statements and program spending. A restricted gift or a contract involving a director's business can lead to questions about authority and conflicts. The IRS describes disclosure and recusal procedures for personal financial interests; insurance is not a substitute for those governance practices.
A small charity can combine volunteers, paid program staff, contractors and an executive director under informal supervision. Worker status and employment-law obligations should be reviewed with advisers. Coverage for a volunteer dispute or employment allegation depends on the policy's definitions, not solely on what the organization calls the person.
Donor databases and online fundraising systems create cyber exposure even where payments are handled by a vendor. A benefits plan for paid staff creates a separate fiduciary question if ERISA applies. Neither a vendor contract nor nonprofit status establishes that a loss will be insured.
Common Claim Scenarios
Hypothetical examples, not reports of actual claims. Coverage depends on the allegations, facts and policy terms.
Restricted gift questioned
A donor alleges funds designated for one program were used elsewhere and challenges the board's oversight.
Conflict not disclosed
Members question a service contract involving a director's business and allege the board did not follow its conflict procedure.
Fundraising account compromised
Unauthorized access exposes donor details held in an online fundraising system. Vendor and cyber policy responsibilities need review.
Recommended Coverages
Management liability lines to review against your organization's actual activities and policy terms.
Directors & Officers Insurance
Review volunteer-board and entity protection for covered allegations about gifts, spending and organizational decisions.
Employment Practices Insurance
Review employment allegations involving paid staff and the definitions applicable to volunteers or other workers.
Cyber Liability Insurance
Evaluate donor and beneficiary records, fundraising platforms and incident-response provisions.
Fiduciary Liability Insurance
Consider covered employee-benefit plan duties where the charity sponsors a plan; this does not insure every use of donated funds.
What to Think About Before You Buy
Structure matters as much as price. These are the points we walk through with charities & public charities before placing coverage.
- Bring restrictions on major gifts and the board's conflict-of-interest procedures.
- Confirm the organization, volunteer directors and relevant workers are within the insured definitions.
- Compare bundled and separate EPL/D&O limits and defense-cost treatment.
- Identify data held by vendors and review benefit-plan applicability separately.
Charities & Public Charities Insurance FAQs
Does a small charity need D&O insurance?
Size and tax-exempt status alone do not resolve board exposure. Review decisions about funds, contracts, staffing and member or donor rights, along with volunteer protections and available indemnification. D&O can address covered defense and liability costs subject to its limits, exclusions and retention.
Are volunteer charity directors automatically protected?
No blanket protection should be assumed. Statutory protections vary and do not replace a policy-funded defense. Check insured definitions and covered activities for directors, officers and committees, and review indemnification with counsel.
Can D&O cover a dispute about restricted donations?
It may address a covered allegation of wrongful governance, but returning a gift, repaying funds, taxes or penalties can be treated differently from covered defense or liability. The complaint, policy wording and applicable law control; coverage should not be promised in advance.
Does charity D&O include EPLI?
Some policies combine governance and employment protection; others require separate coverage. Review the employment insuring agreement, insured workers, exclusions and whether the lines share a limit. An employment claim can affect the amount available for other claims when limits are shared.
How much D&O insurance should a charity buy?
There is no universal amount. Consider financial commitments, donor restrictions, staffing, member rights, known disputes and defense costs. Compare limits and retentions alongside policy breadth; nonprofit status or a small budget does not by itself determine adequate coverage.
